It's even more complex than that.  Baud rate is defined as the signalling=
 rate, and =3D bits per 
second up to around 9600 baud; after that a single signal is encoded into=
 multiple values, using 
phase encoding or some other scheme, so that a 56kbit modem has a much lo=
wer signalling 
rate.  The slow time that it takes such a modem to establish a connection=
 is so that the modems 
at both ends can agree on a transmission rate that works without excessiv=
e errors caused by 
line properties.
